Job Description:
We are looking for a Senior Legal Counsel –- Leveraged and Acquisition Finance and Event Financing Legal, to join the HSBC UK Legal Team. The successful candidate will provide a high quality, timely and cost effective origination support and transaction execution service to the Leveraged & Acquisition Finance (”LAF”)
Job Responsibilities:
- Keeping abreast of relevant regulatory and legal developments insofar as they affect LAF, real estate financings and Event Finance transactions;
- Reviewing, internal escalation and resolution of legal, reputational and other internal issues;
- Leading the structuring, review and negotiation of finance documentation for cross border loan financings (with involvement from pitch phase to completion, and thereafter), alongside origination teams;
- To be considered to be a trusted adviser to the business by ensuring that commercially sensitive, pragmatic and practical legal support and advice is provided in a cost-effective manner to GBM departments.
- Managing relationships with the various internal and external stakeholders, including but not limited to, Global Banking senior management, Corporate Trust and Loans Agency, colleagues in GBM Legal (both in London and in other teams globally), Portfolio Management, Compliance, ESG, Credit, IBOR Committee and Tax; and
- Demonstrating a good commercial understanding of the range of loan transactions and maintaining a detailed knowledge of current market terms;
Job Requirements:
- A qualified lawyer with demonstrable acquisition finance experience gained within a financial institution and/or private practice is essential;
- Knowledge and experience of banking, corporate and securities law concepts and a working knowledge of the laws in the major jurisdictions in which HSBC operates;
- Ability to prioritise – a self-starter, able to operate independently with good organisational skills is essential;
- Knowledge of the HSBC Group corporate structures, its business and personnel and a clear understanding of HSBC’s corporate culture would be advantageous;
- Knowledge and experience of banking and corporate law is highly desirable;
- Experience of providing prompt and practical legal guidance, dealing with ambiguity, considering various perspectives and taking responsibility for the outcomes such as potential long term risks and implications.
- The ability to handle a diverse range of issues and pick up ad hoc projects as needed is essential;
